      You bring up good questions. I think I mentioned in my previous article on MSI/Fredrick's that Fredrick's had been in bankruptcy. Anyway, all the troubles with bankruptcy were due to over-leveraging.

      In my pro-forma I necessarily included the public costs, because I did combine the two companies, and the costs of Sarbox et al. should not increase substantially just because the company is now larger.

      As to the valuation, you are looking a lot smarter than I am what with the continued troubles in retailing.

      This article adds no new info. Also, it is disingenous to say that SecureAlert developed the technology. It did, but that was before it was bought by current management back in 2001 for only $4.3 million. See: www.sec.gov/Archives/e...

      The point still stands: one company is recovering economically significant amounts of oil from producing wells. The other hopes to drill some wells (and does not have enough cash on hand to do much drilling). My thesis has been accepted by the stock market: FXPE's stock has fallen by 54% while SCU's has fallen by only 26%.

      But why should it be that way? Why can't the market for tiny companies be as clear and relatively safe (although frauds like Enron will always be around) as the larger public markets? Tiny companies will never get a ton of analyst coverage, but making short selling easier will lead short sellers to correct the most outrageous penny stock antics (such as ConnectaJet).

      I have not ever seen a specialist commit this sort of fraud. Specialists make money on the bid/ask--if anything, they have incentive to keep a stock from moving.

      High: $1.37
      Low: $0.60"

      So, yeah, that was a below market price for the PIPE.

      First, my point still stands--has Octillion done something in the last few months to make it 10x more valuable?

      Second, the press release does not mention that it was placed at market value.

      Third, a look at the price chart on pinksheets.com shows the company's stock never got down to $0.50 per share.

      Fourth, the 'units' from the private placement included 3 options for each share. Even if the stock was at $0.50, the options make the units more valuable, meaning that the private investors received more value than the market price.

      If I am so wrong about Octillion, and I am not thorough, why not believe David Phillips, who is a professional analyst? He hates Octillion as much as me.
